Consent to Bylaws Amendments

2012 YWCA USA  REQUEST FOR
WRITTEN CONSENT TO BYLAWS AMENDMENTS

                NOTICE IS HEREBY GIVEN by the Secretary of the National Coordinating Board (the “NCB”) of the Young Women’s Christian Association of the United States of America, Inc. (the “YWCA USA”) that commencing October 2012 materials shall be made available to the Local Associations, in electronic form and, upon request by mail, in which the Local Associations will be asked to provide written consent to certain amendments to the YWCA USA Bylaws. 

NO NATIONAL MEETING WILL BE HELD IN CONNECTION WITH THIS PROCESS.

THERE WILL BE NO REQUEST FOR NOTICE OF VOTING DELEGATES, NO REQUEST TO RETURN A WRITTEN PROXY, AND NO ELECTRONIC OR PAPER VOTING BALLOTS.  INSTEAD, EACH LOCAL ASSOCIATION WILL BE ASKED TO COMPLETE A “CONSENT IN LIEU OF A MEETING” FORM, TO BE SIGNED BY AN AUTHORIZED OFFICER OF THE LOCAL ASSOCIATION.  EACH LOCAL ASSOCIATION WILL ALSO BE ASKED TO PROVIDE ADVANCE NOTICE TO THE SECRETARY OF THE YWCA USA OF THE IDENTITY OF THE LOCAL ASSOCIATION OFFICERS AUTHORIZED TO EXECUTE THE CONSENT FORM. 

Under Article XVI of the YWCA USA Bylaws, amendments to the Bylaws may only be made by action of the Local Associations, and under applicable provisions of the Bylaws, the YWCA Certificate of Incorporation and applicable law, the Local Associations are permitted to amend the Bylaws by means of written consents, and no meeting is required.  Article XVI of the Bylaws also establishes the proportion of Local Association consent required for amendment of the Bylaws as being two-thirds of all Local Associations nationally.
